1. Acceptance and scope

These Terms of Use ("Terms") govern your access to and use of the marketing website at mastergrid.io and www.mastergrid.io (the "Site"), operated by MasterGrid ("MasterGrid," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The MasterGrid application at app.mastergrid.io is a separate service governed by separate agreements with customers. These Terms cover the Site only.

2. Use of the Site

You may use the Site only for lawful purposes. You agree not to: (a) interfere with or disrupt the Site or its infrastructure; (b) attempt to gain unauthorized access to any system, account, or data, including the administrative areas of the Site; (c) submit false, misleading, or automated form submissions; (d) scrape, harvest, or bulk-extract content or data from the Site by automated means in a manner that burdens the Site; or (e) use the Site to transmit malware or unlawful material.

3. Early-access applications

Submitting an early-access application does not create an obligation for MasterGrid to provide access to any product or service and does not form a contract for services. We review applications on a rolling basis and may accept or decline any application at our sole discretion. Information you submit is handled per our Privacy Policy.

4. Intellectual property

The Site and its content — including text, graphics, logos, the MasterGrid name and mark, screenshots, and software — are owned by MasterGrid or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to access and view the Site for your internal evaluation purposes. No other rights are granted.

5. Third-party names and trademarks

The Site references third-party products and companies (for example, on comparison pages and the integrations section). All third-party names, marks, and logos are the property of their respective owners. References are for identification and comparison only and do not imply any affiliation with, sponsorship by, or endorsement from those parties. Comparative statements are based on each vendor’s public materials as of the date indicated; if you believe something is inaccurate or out of date, contact us and we will review it promptly.

6. Informational content; no professional advice

Content on the Site — including product descriptions, articles, calculators, estimators, and other tools we may offer — is provided for general informational and planning purposes only. It does not constitute engineering, legal, safety, code-compliance, or other professional advice, and outputs of any tools are estimates only. Always verify requirements with qualified professionals and the authority having jurisdiction (AHJ) for your event.

7. Third-party links

The Site may link to third-party websites. We do not control and are not responsible for their content, policies, or practices. Links are provided for convenience only.

8. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PRODUCT DESCRIPTIONS REFLECT A PLATFORM IN ACTIVE DEVELOPMENT AND MAY CHANGE WITHOUT NOTICE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASTERGRID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold MasterGrid harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site or violation of these Terms.

11. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Site will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.

12. Changes; general

We may update these Terms from time to time; the updated version takes effect when posted, and the "Last updated" date will change. If any provision is found unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and MasterGrid regarding the Site.
